The following are the terms and conditions (the “Particular Terms and Conditions”) governing the integrated service between Gralcey S.A. (“Belo”) and Bridge Ventures Inc. (“Bridge”) offered to its Users (as detailed below), which constitutes an agreement between you and Belo, which must be read, understood and accepted by those using the service provided by Bridge (the “Service”).
Acceptance
By accepting the terms and conditions and using the Service, you agree to comply with each of these Particular Terms and Conditions, the General Terms of Use and Privacy Policy; in addition, you agree to comply with Bridge's terms and conditions and privacy policies, which can be viewed at Bridge.xyz/legal, and any other terms and conditions that we link to these Terms and Conditions and that apply to you once you begin using the Service.
THE USE OF THE SERVICE IS SUFFICIENT PROOF OF THE USER'S ACCEPTANCE OF THESE PARTICULAR TERMS AND CONDITIONS, THE PRIVACY POLICY AND THE OTHER DOCUMENTS THAT REGULATE THE PRODUCT AND SERVICE OFFERED TO THE USERS.
Any User who does not wish to accept these Particular Terms and Conditions should refrain from using the Service.
References in these Particular Terms and Conditions to the words “your”, “you” refer to the User who is a Belo User, who has accepted Belo's General Terms of Use and Privacy Policy, who is eligible to use the Service, who accepts these Particular Terms and Conditions and who agrees to use the Service as described in these Particular Terms and Conditions.
Service
U.S. Dollar Transfers is a product designed by Belo but provided by Bridge that allows the User to receive deposits through wire transfers denominated in U.S. Dollars from bank accounts or digital platforms owned by the User denominated in U.S. Dollars, which will be converted into USDC and received in your account at Belo (the “Belo Account”).
To do so, Belo may ask you to provide and share with us the information of each of the accounts with which you wish the Service to interact. In this regard, you must follow all steps and include all information as outlined in the instructions provided to you when using the Service.
Charges for the Service
Access to and use of the Service may be subject to payment of an annual subscription fee (the "Annual Subscription Fee"). The Annual Subscription Fee then in force, as well as any total or partial waiver of it, will be communicated to the User in the Application prior to contracting the Service and prior to each renewal. Belo may set the Annual Subscription Fee at zero (0), in which case access to the Service will be free of charge for the User during the period so communicated. Registration for the Service does not, in itself, give rise to any charge other than the Annual Subscription Fee in force and communicated at the time of contracting.
Where the Annual Subscription Fee communicated is greater than zero, it will be deducted from the User's Belo Account and is non-refundable once paid. Failure to pay it will result in the User being unable to use the Service.
Belo may waive the Annual Subscription Fee, in whole or in part, generally or in respect of specific Users, segments, periods or promotional campaigns, subject to the fulfilment of the conditions duly communicated to the User (the "Bonus"). The Bonus may be applied either as an exemption from the charge or as a subsequent reimbursement to the Belo Account, at Belo's discretion. The Bonus is temporary in nature and does not create any acquired right to its continuation: once the Bonus period ends, the Annual Subscription Fee then in force will be payable for the maintenance of the Service.
The Service will be automatically renewed prior to the expiry date of each annual subscription, for which the User must have sufficient funds in their Belo Account. Any change to the Annual Subscription Fee, as well as the termination of a Bonus in force, will be communicated to the User at least thirty (30) calendar days prior to the renewal date, and the User may cancel the Service at no cost or penalty before that date. If the renewal is not completed, the User will not be able to use the Service. It is hereby noted that if the Bridge account is closed and the User wishes to access the Service again, they must initiate a new registration process and pay the Annual Subscription Fee then in force, if applicable.
Access to the Service is subject to Bridge's approval and validation of the User's information.
Belo is a mere facilitator of the Service. In this regard, the User acknowledges and accepts that in no event shall Belo be liable for any costs arising from erroneous transfers, rejected transfers or improper use of the Service. Fees may be charged for the management of the return of funds to the originating bank account or digital platform where a transfer is rejected.
Commissions
The use of the Service may be subject to fees charged by the Developer. If applicable, the amount and conditions will be communicated within the Application.
Minimum Amount for the use of the Service
The minimum amount for the use of the Service for each transfer to be made by the User will be informed in due time by Belo. .
Independence
Both Belo and Bridge are independent companies. Users should read and understand Bridge's terms and conditions set forth above in these Particular Terms and Conditions.
Intellectual Property
The mention of Belo's and Bridge's trademarks in the respective web pages and their diffusion is made purely and exclusively within the framework of the joint alliance, each maintaining the intellectual property of their trademarks and rights over them.
Personal Data
By accepting these Particular Terms and Conditions, the User understands that the information and data related to the use of the Service may be shared and/or disclosed between Belo and Bridge and third parties for the purpose of providing the Service. The User's data is not retained by Belo when the Service is terminated.
Security and Responsibility
The registered User shall be solely responsible for the use of the Service, transfer instructions and movements made in the Belo Account. Likewise, the User agrees to keep the passwords and not to share them with third parties and to take the utmost diligence and care since he/she understands that in case of loss, vulnerability, theft and/or leakage of the access information to his/her account, it is exclusively the User who will be responsible for the losses and damages that this may cause, holding Belo and Bridge harmless from any claim related to such damages.
