The following are the terms and conditions (the “Particular Terms and Conditions”) governing the integrated service between Gralcey S.A. (“Belo”) and Bridge Ventures Inc. (“Bridge”) offered to its Users (as detailed below), which constitutes an agreement between you and Belo, which must be read, understood and accepted by those using the service provided by Bridge (the “Service”).
Acceptance
By accepting the terms and conditions and using the Service, you agree to comply with each of these Particular Terms and Conditions, the General Terms of Use and Privacy Policy; in addition, you agree to comply with Bridge's terms and conditions and privacy policies, which can be viewed at Bridge.xyz/legal, and any other terms and conditions that we link to these Terms and Conditions and that apply to you once you begin using the Service.
THE USE OF THE SERVICE IS SUFFICIENT PROOF OF THE USER'S ACCEPTANCE OF THESE PARTICULAR TERMS AND CONDITIONS, THE PRIVACY POLICY AND THE OTHER DOCUMENTS THAT REGULATE THE PRODUCT AND SERVICE OFFERED TO THE USERS.
Any User who does not wish to accept these Particular Terms and Conditions should refrain from using the Service.
References in these Particular Terms and Conditions to the words “your”, “you” refer to the User who is a Belo User, who has accepted Belo's General Terms of Use and Privacy Policy, who is eligible to use the Service, who accepts these Particular Terms and Conditions and who agrees to use the Service as described in these Particular Terms and Conditions.
Service
U.S. Dollar Transfers is a product designed by Belo but provided by Bridge that allows the User to receive deposits through wire transfers denominated in U.S. Dollars from bank accounts or digital platforms owned by the User denominated in U.S. Dollars, which will be converted into USDC and received in your account at Belo (the “Belo Account”).
To do so, Belo may ask you to provide and share with us the information of each of the accounts with which you wish the Service to interact. In this regard, you must follow all steps and include all information as outlined in the instructions provided to you when using the Service.
Charges for the Service
The use of the Service will have an annual account subscription cost that will be duly informed by Belo to its Users prior to accessing the Service (the “Annual Subscription Fee”), which may be deducted from your Belo Account, and is non-refundable once paid. If the Annual Subscription Fee is not paid, the User will not be able to use the Service.
Belo is a mere facilitator of the Service. In this regard, the User acknowledges and accepts that in no event shall Belo be liable for any costs arising from misuse of the Service. Consequently, the User will bear the expenses derived from the Service, and will pay Belo a fee for the management of the return of the money to the bank account or digital platform - as appropriate - owned by the User, which will be duly informed to the User.
In line with the above, the use of the Service is subject to the approval and validation of the User's information by Bridge. In line with this, in case of rejection of the information provided by the User, Belo will refund to the User 50% of the Annual Subscription Fee paid.
Likewise, at its sole and entire discretion, subject to the fulfillment of certain conditions that will be duly informed to the User, Belo may reimburse the User the Annual Subscription Fee corresponding to such annual period (the “Bonus”). In this regard, upon completion of the Bonus calendar year, the Annual Subscription Fee will be required for the maintenance of the Service.
Commissions
A 2% commission is applied to transactions made using the Service and will be automatically deducted from the USDC received in your Belo Account.
Minimum Amount for the use of the Service
The minimum amount for the use of the Service for each transfer to be made by the User will be informed in due time by Belo. .
Independence
Both Belo and Bridge are independent companies. Users should read and understand Bridge's terms and conditions set forth above in these Particular Terms and Conditions.
Intellectual Property
The mention of Belo's and Bridge's trademarks in the respective web pages and their diffusion is made purely and exclusively within the framework of the joint alliance, each maintaining the intellectual property of their trademarks and rights over them.
Personal Data
By accepting these Particular Terms and Conditions, the User understands that the information and data related to the use of the Service may be shared and/or disclosed between Belo and Bridge and third parties for the purpose of providing the Service. The User's data is not retained by Belo when the Service is terminated.
Security and Responsibility
The registered User shall be solely responsible for the use of the Service, transfer instructions and movements made in the Belo Account. Likewise, the User agrees to keep the passwords and not to share them with third parties and to take the utmost diligence and care since he/she understands that in case of loss, vulnerability, theft and/or leakage of the access information to his/her account, it is exclusively the User who will be responsible for the losses and damages that this may cause, holding Belo and Bridge harmless from any claim related to such damages.
